Article 1 \u2014 Definitions<\/h2>

In these terms, the following definitions apply: Brandesign<\/strong>: the contractor, based in Wormerveer. Client<\/strong>: the (legal) entity that enters into an agreement with Brandesign or receives a quote for one. Services<\/strong>: all work delivered by Brandesign, including branding, web design, web development, webshops, maintenance, SEO, online marketing and coaching.<\/p>

Article 2 \u2014 Applicability<\/h2>

These terms apply to all quotes, agreements and deliveries by Brandesign, unless agreed otherwise in writing. The client’s purchasing or other terms are expressly rejected.<\/p>

Article 3 \u2014 Quotes and formation<\/h2>

All quotes are without obligation and valid for 30 days, unless stated otherwise. An agreement is formed after written (or digital) acceptance of the quote, or as soon as Brandesign has started the work at the client’s request. Obvious mistakes or clerical errors in quotes are not binding on Brandesign.<\/p>

Article 4 \u2014 Prices and payment<\/h2>

Where possible, Brandesign works with fixed project prices that are set out in advance in the quote. All prices are exclusive of VAT, unless stated otherwise. Brandesign may request a deposit before the work starts. Invoices have a payment term of 14 days. In the event of late payment, after a reminder the client owes the statutory (commercial) interest and reasonable collection costs, and Brandesign may suspend the work.<\/p>

Article 5 \u2014 Performance and cooperation<\/h2>

Brandesign performs the agreement to the best of its insight and ability (best-efforts obligation). Stated lead times are indicative and not strict deadlines. The client ensures the timely delivery of required materials (such as texts, imagery and access details); any delay in this may affect the planning and the price.<\/p>

Article 6 \u2014 Revisions and additional work<\/h2>

The quote states the number of revision rounds included. Additional wishes or changes outside the agreed scope count as additional work and are quoted in advance. Additional work is only carried out after the client’s approval.<\/p>

Article 7 \u2014 Intellectual property<\/h2>

Alle rechten van intellectuele eigendom op door Brandesign ontwikkelde werken (waaronder ontwerpen, code en content) blijven bij Brandesign tot volledige betaling van de overeengekomen vergoeding. Na volledige betaling verkrijgt de opdrachtgever het overeengekomen gebruiksrecht respectievelijk de overeengekomen overdracht. Door derden gelicentieerde onderdelen (zoals stockbeeld, fonts, plugins en thema’s) blijven onderworpen aan de licentievoorwaarden van die derden. Brandesign mag het geleverde werk gebruiken voor eigen portfolio en promotie, tenzij schriftelijk anders afgesproken.<\/p>

Article 8 \u2014 Third-party services<\/h2>

For hosting, domain names, software licences and third-party platforms (such as WordPress plugins, Shopify, Lightspeed, Google or bol.com), the terms of those third parties apply. Brandesign is not liable for changes, outages or policies of these parties.<\/p>

Article 9 \u2014 Ongoing services<\/h2>

Agreements for ongoing services (such as maintenance, SEO or marketing) are entered into for the period stated in the quote and can be cancelled monthly thereafter with a notice period of one month, unless agreed otherwise.<\/p>

Article 10 \u2014 Liability<\/h2>

Brandesign’s liability is limited to direct damage and to a maximum of the amount invoiced and paid for the relevant assignment (for ongoing services: the fee over the last three months). Brandesign is not liable for indirect damage, such as lost profit, missed savings, data loss or reputational damage, nor for damage caused by incorrect or incomplete information provided by the client. Nothing in this article limits liability that cannot be limited by law (such as intent or deliberate recklessness). Consumers’ statutory rights remain unaffected.<\/p>

Article 11 \u2014 Force majeure<\/h2>

In the event of force majeure (including outages at hosting or service providers, internet disruptions, illness and government measures), obligations are suspended. If the force majeure lasts longer than 60 days, both parties may dissolve the agreement for the unperformed part, without any right to compensation.<\/p>

Article 12 \u2014 Confidentiality and privacy<\/h2>

Both parties treat the other’s confidential information confidentially. Our Privacy policy<\/a> applies; where Brandesign acts as a processor, additional arrangements are recorded.<\/p>

Article 13 \u2014 Complaints<\/h2>

Report complaints about delivered services within 14 days of delivery via studio@brandesign.nl<\/a>. We respond within 5 working days and look for a suitable solution together. A complaint does not suspend the payment obligation.<\/p>

Article 14 \u2014 Applicable law<\/h2>

Dutch law applies to all agreements. Disputes are submitted to the competent court of the District Court of Noord-Holland, unless mandatory law provides otherwise. Consumers in the EU can also make use of the legal options in their own country.<\/p>

Article 15 \u2014 Changes<\/h2>

Brandesign may amend these terms.
